Banks Island Gold Ltd. Announces Non-Brokered Private Placement
The Company will issue an aggregate of 13,333 Units (the "Finder's Units"), representing 8% of the number of Units sold pursuant to the Unit Offering, as a finder's fee in connection with the Unit Offering. The Finder's Units will be comprised of one common share and one half of one non-transferable share purchase warrant, which securities will have the same terms as the Units.
The gross proceeds from the Unit Offering will be used for potential acquisitions and, along with the proceeds of the FT Offering, to continue exploration and development activities on the Company Bank's Island Property located on Banks Island in British Columbia.
The securities have not been and will not be registered under the U.S. Securities Act of 1933, as amended (the "1933 Act"), or under any state securities laws, and may not be offered or sold, directly or indirectly, or delivered within the United States or to, or for the account or benefit of, U.S. persons (as defined in Regulation S under the 1933 Act) absent registration or an applicable exemption from the registration requirements.
