American Vanadium Closes Financing
AMERICAN VANADIUM CORP. ('American Vanadium? or the 'Company?)
(TSX.V: AVC) (OTCQX: AVCVF) is pleased to report that it has completed
its previously announced non-brokered private placement (the 'Private
Placement?) and has issued a total of 3,225,854 units at the price of
CDN$0.62 per unit (a 'Unit?) for total gross proceeds to the Company of
approximately CDN$2,000,030.
Each Unit consists of one common share ('Common Share?) in the capital
of the Company and one-half of a non-transferable common share purchase
warrant (each whole warrant, a 'Warrant?). Each whole Warrant will
entitle the holder thereof to purchase one Common Share at the price of
CDN$1.00 each until March 12, 2014. All securities issued in connection
with the Private Placement are subject to a four month hold period,
expiring January 13, 2013.
A 7% cash finder′s fee was paid on a portion of the Private Placement.
The net proceeds of the Private Placement will be used for mine design,
environmental permitting and general working capital.
The Private Placement is subject to final regulatory approval.
