Oremex Gold Reports Results of Annual and Special Meeting

TORONTO, May 31, 2012 - Oremex Gold Inc. the "Company") (TSX Venture: OAU) (Frankfurt: OM8) is pleased to announce the results of its annual and special meeting of shareholders of the Company (the "Meeting") held on Thursday, May 31, 2012. The shareholders approved all resolutions placed before them by management including the re-election of directors, the re-appointment of auditors, the renewal of the Company's stock option plan, and a change of the Company's municipality of registered office.The shareholders re-elected John Carlesso, Michael R. Smith, Chris Marcus, Rosalind Wilson, and Henry Tse to serve as directors of the Company. As of the close of the Meeting, the Company's board is constituted of a majority of independent directors.
McGovern, Hurley, Cunningham, LLP was re-appointed as auditors of the Company.
The shareholders approved and confirmed the renewal of the stock option plan of the Company, including the reservation for issuance, at any time, of a maximum of 10% of the issued and outstanding shares of the Company, in accordance with the policies of the TSX Venture Exchange.
Finally, the shareholders authorized the Company to change the municipality or geographic township in which the Company's registered office is located from Brooklin, Ontario to Toronto, Ontario.
