Baja Mining Corp.Shareholders Vote to Keep the Current Board

VANCOUVER, BRITISH COLUMBIA -- (Marketwire) -- 04/03/12 -- Baja Mining Corp. (TSX: BAJ)(OTCQX: BAJFF) today announced that its shareholders have voted to keep the current Board unchanged. The vote took place at a Special Meeting of Shareholders in Vancouver. The Special Meeting of Shareholders was requisitioned by dissident Mount Kellett Master Fund II A L.P., whose two nominees were not elected to the Board.

"We thank shareholders for their support during this unnecessary proxy contest, which has been challenging, costly and disruptive for Baja," said John Greenslade, President and CEO of Baja. "We also caution that strong shareholder support may again be needed at the upcoming Annual General Meeting."

Vote results

A total of 260,998,826 shares or 77% of Baja's 338,778,650 outstanding shares at the meeting record date were voted at the Special Meeting. Voting results on the Board-related resolutions, expressed as a percentage of total shares voted, are as follows:

With regard to the resolution to amend Baja's stock option plan, 94% of shares voted at the meeting were in favour. Baja's Board and management supported the resolution.


Board-related vote analysis

Support for the Board was overwhelming after excluding shares held by Mount Kellett and its ally Robert Mouat. On that basis shares voted at the meeting were voted 87% against Mount Kellett's resolution to remove two incumbent Board members, 73% against Mount Kellett's resolution to increase the size of the Board to nine from seven, 74% against Mount Kellett's resolution to elect dissident nominee Stephen Lehner as a director and 73% against Mount Kellett's resolution to elect dissident nominee Lorie Waisberg as a director.

Expressed another way, only 13% of the shares voted at the meeting were voted in support of Mount Kellett's resolution to remove two incumbent directors, only 27% of shares were voted in support of Mount Kellett's resolution to increase the size of the Board to nine from seven and only 26% of shares were voted in support of Mount Kellett's resolution to elect the two dissident nominees, after excluding the shares held by Mount Kellett and its ally Robert Mouat.
