Eagle Hill Closes $7.2 Million Financing
VANCOUVER, BRITISH COLUMBIA -- (Marketwire) -- 02/14/12 -- Eagle Hill Exploration Corporation ('Eagle Hill' or the 'Company') (TSX VENTURE: EAG) is pleased to announce the closing of the previously announced brokered structured flow through financing led by IBK Capital Corp. and arranged by Oberon Capital Corporation. The transaction structure involved the issuance of flow through common shares, their donation to charity and subsequent resale by charities to institutional and accredited investors.
The company issued 43,636,364 common shares on a structured flow through private placement basis at $0.165 per share for proceeds of $7.2 million. Dundee Corporation has subsequently purchased 29.5 million common shares at $0.10 per share for a 19% ownership stake in the Company on a partially diluted basis.
'The $7.2 million will be used to expand the gold resource at Windfall Lake with an aggressive drill program,' explained Brad Kitchen, President and Chief Executive Officer of Eagle Hill. 'Management appreciate the new institutional investor support of its work on Windfall Lake with the significant share acquisition made by Dundee Corporation.'
Eagle Hill paid a cash commission of 7% of the funds raised and issued 3,054,545 broker warrants equal to 7% of the shares sold in connection with the financing. The broker warrants have an exercise price of $0.165 per share and expire in two years.
About the Windfall Lake Property
The Windfall Lake Property is comprised of 362 contiguous claims (over 12,000 hectares) in the Abitibi mineralized belt of northern Quebec. This area between Val-d'Or and Chibougamau is known for its gold and copper production and excellent infrastructure for exploration and mining. Historically, the Windfall Lake Property has had extensive grassroots exploration work. Along with its independently acquired claims at the Windfall Lake Property, Eagle Hill has also signed options with Murgor Resources Inc., Cliffs Natural Resources Inc. (formerly, Freewest Resources Canada Inc.), and Noront Resources Inc. to acquire the Windfall Lake Property.
