Uranium One Announces Final Terms for U.S.$463.5 Million Offering of Bonds in Russia

TORONTO, Dec. 5, 2011 /CNW/ - Uranium One Inc. ('Uranium One' or the 'Company') today announced that it has negotiated definitive commercial terms for a Russian bond offering for gross proceeds of U.S.$463.5 million with an effective interest rate of 6.74% (the 'Offering').

The Offering is scheduled to close on December 7, 2011.

The Company has entered into agreements with eligible investors for the issuance of Ruble-denominated bonds(1) (the 'Bonds') having an aggregate principal amount of U.S.$463.5 million. The Bonds will bear interest at a rate of 6.74%, payable semi-annually from the date of issue.
The Bonds will be direct, unsecured, non-convertible, interest-bearing obligations of the Company, subordinated to the Company's outstanding 4.25% Convertible Debentures due December 31, 2011 and to any present or future secured obligations, and ranking equally with all other unsecured indebtedness of the Company.
In connection with the Offering, Uranium One has entered into a Ruble/U.S. dollar cross-currency swap agreement. The swap has a U.S. dollar fixed rate of U.S.$1.00 = RUB 30.855 and was entered into by the Company in order to hedge the Ruble denominated coupon payments and principal amount of the Bonds.
