TORONTO, ONTARIO -- (Marketwire) -- 05/11/10 -- Banro Corporation ('Banro' or the 'Company') (TSX: BAA)(NYSE Amex: BAA) is pleased to announce that it is undertaking an overnight marketed offering of Common Shares ('Common Shares') to be effected by way of a prospectus supplement ('Offering') to its existing base shelf prospectus dated September 11, 2008 and filed with the securities commissions in all of the provinces of Canada (other than the Province of Quebec) and under the multi-jurisdictional disclosure system in the United States by way of a prospectus supplement to the Company's U.S. shelf registration statement filed with the U.S. Securities and Exchange Commission (the 'SEC') on September 11, 2008. The Common Shares will also be offered on a private placement basis in certain jurisdictions outside of Canada and the United States pursuant to applicable prospectus exemptions.


The number of Common Shares to be distributed and the price of each Common Share will be determined in the context of the market with final terms to be determined at the time of pricing. The Offering will be conducted through a syndicate of underwriters co-led by GMP Securities L.P. and CIBC World Markets Inc.


The Company will grant the underwriters an over-allotment option to purchase additional Common Shares in an amount up to 10% of the number of Common Shares sold pursuant to the Offering, exercisable at any time up to 30 days from the closing of the Offering.


The Company intends to use the net proceeds of the Offering as follows: (i) development costs of 'Phase 1' of the Twangiza project; (ii) additional drilling programs at the Twangiza project and other projects; and (iii) administrative and general corporate purposes of the Company.


Closing of the Offering is expected to occur on or about May 20, 2010 and is subject to receipt of all necessary regulatory approvals, including the approval of the Toronto Stock Exchange and the NYSE Amex Equities.


Banro is a Canadian-based gold exploration and development company focused on the development of four major, wholly-owned gold projects, each with mining licenses, along the 210 kilometre-long Twangiza-Namoya gold-belt in the South Kivu and Maniema provinces of the Democratic Republic of the Congo (the 'DRC').
