Maritime Announces $3.5M Non-Brokered Private Placement

Toronto, April 27, 2020 - Maritime Resources Corp. (TSXV: MAE) ("Maritime" or the "Company") is pleased to announce a non-brokered private placement of up to $3.5 million through the issuance of a combination of common shares in the capital of the Company ("Common Shares") at a price of $0.06 per Common Share and flow-through Common Shares (the "FT Shares") at a price of $0.065 per FT Share (the "Offering").

The Company is pleased to announce that Dundee Goodman Merchant Partners (DGMP), a division of Goodman & Company, Investment Counsel Inc., Sprott Capital Partners LP and Canaccord Genuity Corp. are acting as advisors to the Company. The financing is anticipated to close on or about May 14, 2020.

The Company may pay finder's fees of 5% of the gross proceeds from the sale of the Common Shares and FT Shares sold under the Offering payable in either cash or common shares at the option of the finder. The private placement is subject to TSX Venture Exchange approval and all securities issued will be subject to a four-month hold period.

Use of Proceeds

The net proceeds of the Offering will be used by the Company to continue exploration and development of the Hammerdown gold project, as well as for working capital and general corporate purposes.
