Plato Gold Announces Shares for Debt
TORONTO, Oct. 11, 2017 (GLOBE NEWSWIRE) -- Plato Gold Corp. (TSX-V:PGC) (“Plato” or the “Company”), an exploration company with a portfolio of properties in Northern Ontario and Santa Cruz, Argentina is pleased to announce that it has entered into debt settlement agreements with creditors of the Company pursuant to which the Company has agreed to issue an aggregate of 16,615,800 common shares ("Shares") at a deemed price of $0.05 per Share in order to settle certain obligations of the Company totaling $830,790 (the “Transactions”). The Company decided to satisfy this outstanding indebtedness with Shares in order to preserve its cash for operations.
The Transactions are subject to the approval of the TSX Venture Exchange (the "Exchange"). The Company will issue the Shares once the Transactions have been approved by the Exchange.
The Transactions are to occur as between Plato and several insiders of Plato. Consequently, the Transactions will constitute “related party transactions” within the meaning of TSX Venture Exchange Policy 5.9 and Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions (“MI 61-101”). Plato is relying on the exemptions contained in sections 5.5(b) and section 5.7(g) of MI 61-101. Plato’s common shares are only traded on the facilities of the TSX Venture Exchange. Furthermore, Plato’s board of directors have unanimously determined (with Anthony J. Cohen abstaining) that Plato is in financial hardship, the debt settlement transactions are designed to improve the financial position of Plato, and the terms of such transactions are reasonable in the circumstances of Plato.

In Argentina, Plato owns a 75% interest in Winnipeg Minerals S.A. (“WMSA”), an Argentina incorporated company. The Lolita Property, held by WMSA, is comprised of a number of contiguous mineral rights totaling 9,672 hectares. Work has advanced on this exploration property to the point that it is drill-ready or ready to be optioned to a partner.
