Lydian Announces Filing of Final Prospectus for Subscription Receipt Offering and Pricing of Private Placements

Lydian International Ltd. (TSX:LYD) ("Lydian" or "the Company") is pleased to announce that it has filed a (final) short form prospectus with the securities regulatory authorities in each of the provinces and territories of Canada, other than Québec, in connection with its public offering of subscription receipts (the "Offering") and has entered into an underwriting agreement to sell 115,000,000 subscription receipts at a price of C$0.29 per subscription receipt for total gross proceeds of C$33,350,000 to a syndicate of underwriters led by Scotiabank. Lydian has also granted the underwriters an over-allotment option to purchase up to an additional 17,250,000 subscription receipts, for additional gross proceeds to Lydian of up to C$5,002,500, to cover over-allotments, if any, and for market stabilization purposes. Each subscription receipt will entitle the holder to receive, upon satisfaction or waiver of all escrow release conditions, one Lydian ordinary share and three-quarters of one ordinary share purchase warrant (each whole warrant, a "Warrant"). Each Warrant will entitle the holder to purchase one ordinary share of Lydian at a price of C$0.36 for a period of 18 months from their date of issuance. Closing of the Offering is expected to occur on or about March 17, 2016.
In addition, Lydian has entered into subscription agreements with each of Orion Mine Finance ("Orion") and Resource Capital Fund VI L.P. ("RCF"), pursuant to which Lydian will issue an aggregate of US$80,000,000 million worth of ordinary shares at a price of C$0.30 per ordinary share on a private placement basis (the "Private Placements"), subject to the applicable exchange rate at closing of the Private Placements. The Private Placements are expected to close upon the satisfaction of the escrow release conditions under the Offering.
Lydian intends to convene an extraordinary general meeting of shareholders to submit for shareholder approval the Private Placements in accordance with applicable regulatory and TSX requirements. It is anticipated that the extraordinary general meeting will be held during Q2 2016.
