Crocodile Gold Receives Interim Order and Announces Special Meeting of Shareholders
The Interim Order, among other things, authorizes Crocodile Gold to call and hold a special meeting of shareholders of Crocodile Gold (the "Meeting") to consider the Arrangement. In accordance with the Interim Order, the Meeting will be held on July 6, 2015 at the offices of Bennett Jones LLP, Suite 3400 One First Canadian Place, Toronto, Ontario at 10:00 a.m. (Toronto time).
Crocodile Gold and Newmarket have prepared a joint information circular ("Joint Circular") with respect to the Arrangement that will be mailed to shareholders of Crocodile Gold and shareholders of Newmarket of record as of June 1, 2015.
The Joint Circular includes the unanimous recommendations of the Crocodile Gold board of directors and Newmarket board of directors that Crocodile Gold Shareholders and Newmarket Shareholders, respectively, vote for the Arrangement. The Joint Circular will be available on SEDAR under Crocodile Gold's issuer profile and Newmarket's issuer profile at www.sedar.com.
The hearing date for the application for the Final Order of the Court is scheduled for July 8, 2015. The Arrangement is anticipated to become effective on or about July 10, 2015, subject to obtaining the required approvals from the shareholders of Crocodile Gold at the Meeting, and the final order from the Ontario Superior Court of Justice (Commercial List) and the satisfaction or waiver of all other closing conditions.
