Sacre-Coeur Minerals Receives Approval for Further Amendment of Gold Participation Bonds
The further amendment as proposed by The Law Debenture Trust Corporation p.l.c. (the “Trustee”) was to amend to certain provisions of the Trust Deed in order to include an enforceable right to the deliveries of the ETF Units due on the four additional quarterly delivery dates as outlined in the Company’s April 14, 2014 press release, and certain other consequential amendments required to fully give effect to the matters approved by Bondholders in May 2014. This amendment also reschedules the Interest payment date with respect to the Bonds to June 30, 2014. Finally, as result of this amendment, the minimum aggregate delivery to Bondholders by March 31, 2017 is being increased from 5,361 ETF Units (each representing 1 tr oz of gold) to 5,425 ETF Units, which will be followed by the additional deliveries.
Agreement to amend the Trust Deed as above received the consent of holders of 84.53% of the outstanding principal amount of the Bonds by way of an extraordinary resolution.
With these amendments to the Trust Deed, the way is now clear for the Company to close supplemental financing of up to US $12 million, secured on a pari passu basis with Bondholders. In accordance with the amended terms of the Trust Deed, the Company is working to close an initial tranche of not less than $2 million of this total by 30 June 2014.
