NGEX Intends to Undertake CAD $30 Million Private Placement
VANCOUVER, BRITISH COLUMBIA--(Marketwired - Jun 4, 2014) - NGEx Resources Inc. (TSX:NGQ) ("NGEx" or the "Company") announces its intention to undertake a private placement of common shares of the Company (the "Common Shares").
NGEx intends to offer the Common Shares in a private placement to raise gross proceeds of up to approximately 1SEK 182,127,000 (approximately CAD $30 million) aimed at Swedish and international investors (the "Private Placement"). The Company retains the right to increase the size of the Private Placement at its discretion by up to an additional approximately SEK 60,709,000 (CAD $10 million). The price of the Common Shares in the Private Placement will be determined in a book-building process that will begin at or around 09:00 Central European Time (CET) on June 5, 2014, and end before the commencement of trading on the TSX on the same day.
Net proceeds of the private placement will be used to fund the Company's ongoing exploration programs in Chile and Argentina as well as for corporate development and general working capital purposes.
An application will be made to the TSX for approval of the listing of the Common Shares.
On April 29, 2014, NGEx announced its intention to apply for a secondary listing of its Common Shares in Sweden on NASDAQ OMX Stockholm. Assuming completion of the secondary listing, the Common Shares to be issued pursuant to the Offering are expected to be listed on NASDAQ OMX Stockholm.
Closing of the Private Placement is subject to, among other things, TSX approval as well as the successful listing of the Common Shares on NASDAQ OMX Stockholm, including that NGEx meets NASDAQ OMX Stockholm's ownership distribution requirements.
