Sunridge Gold Announces Brokered Private Placement
Vancouver, British Columbia CANADA, September 19, 2013 /FSC/ - Sunridge Gold Corp. (SGC:TSX.V/SGCNF:OTCQX),(the "Company" or "Sunridge") is pleased to announce it has appointed Tempest Capital Corp. (the "Agent") to act as agent, on a best-efforts basis, for a private placement (the "Private Placement") to raise gross proceeds of up to $3 million by the issuance of up to 15,789,474 units (each a "Unit") of the Company at a purchase price of $0.19 per Unit. Each Unit will consist of one common share (a "Share") and one transferable common share purchase warrant (a "Warrant"). Each Warrant will entitle the holder thereof to purchase one additional common share (a "Warrant Share") of the Company at an exercise price of $0.35 until October 18, 2017. The Company will make an application to the TSX Venture Exchange (the "Exchange") to list the Shares and the Warrants issued pursuant to the Private Placement as well as the Warrant Shares issuable upon exercise of the Warrants.
In consideration for their services, the Agent will receive a cash commission equal to 6% of the gross proceeds from the sale of Units, and broker warrants (the "Broker Warrants") exercisable into that number of Units equal to 6% of the number of Units sold pursuant to the Private Placement. Each Broker Warrant will be exercisable to acquire one Share and one Warrant at a price of $0.19 at any time up to October 18, 2017. The Private Placement is expected to close on or about October 18, 2013, or such other date as agreed to by the Company and the Agent, and is subject to the receipt of all necessary regulatory approvals including acceptance by the Exchange.
The Company intends to use the net proceeds of the Private Placement for further development of the Company's Asmara Project as well as general working capital purposes.
The Company also intends to settle outstanding debt (the "Debt Settlement") in the aggregate amount of $830,128 by issuing Units. The parties to the Debt Settlement are at arm's length to the Company. The Debt Settlement is also subject to the acceptance by the Exchange.
The securities issued pursuant to the Private Placement and the Debt Settlement will be subject to a four month hold period under applicable Canadian securities laws.
