Gold Canyon Closes $995,200 Non-Brokered Private Placement
A related party to the Company, as that term is defined in Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ("MI 61-101"), has subscribed for an aggregate of 750,000 Units of the private placement, constituting a related party transaction pursuant to TSX Venture Exchange Policy 5.9 and MI 61-101. The Company has relied on Section 5.5(a) of MI 61-101 for an exemption from the formal valuation requirement and Section 5.7(1)(a) of MI 61-101 for an exemption from the minority shareholder approval requirement of MI 61-101 as the fair market value of the transaction did not exceed 25% of the Company's market capitalization.
All securities to be issued will be subject to a hold period, which will expire on December 20, 2013 in accordance with the rules and policies of the TSX Venture Exchange and applicable Canadian securities laws and such other further restrictions as may apply under foreign securities laws.
